Terms & Conditions

These Terms & Conditions (“Terms”) govern your purchase of and access to any training, course, system, or bundle offered under The Virtual Residency (“TVR”), created by The Growth Collective, LLC (“Provider,” “we,” or “us”). By purchasing, downloading, or accessing any TVR materials, you (“User,” “Student,” “Therapist,” or “Purchaser”) agree to these Terms in full.

1. Educational Purpose Only

All TVR trainings and materials are provided strictly for educational and informational purposes. They are not clinical supervision, medical advice, legal guidance, HR consultation, compliance certification, or a substitute for licensure board requirements.

You acknowledge and agree that:

  • All decisions regarding client care, supervision, employment, compliance, documentation, or professional conduct remain solely your responsibility.

  • You will not rely on TVR materials as the sole or primary basis for any professional, clinical, business, or legal decision.

  • You release and hold harmless the Provider from any liability connected to your professional actions, outcomes, or reliance on this content.

2. License and Permitted Use

Your purchase grants a one (1) non-exclusive, non-transferable, revocable license for individual use only.

You may not:

  • Share access credentials

  • Provide group access

  • Upload, host, or redistribute content

  • Sell, sublicense, or transfer materials to any third party

Unauthorized use may result in immediate termination of access without refund, and may subject you to legal action for damages and injunctive relief.

2A. Organizational Purchases

If TVR is purchased by an organization on behalf of employees, residents, interns, or contractors:

  • Each individual user must have their own licensed access, unless otherwise expressly agreed to in writing.

  • Organizational purchase does not grant ownership of the content or the right to internally reproduce, host, copy, or distribute TVR materials.

  • Internal training libraries, shared drives, LMS uploads, or recorded replays containing TVR content are prohibited.

3. One-Time Purchase, Access & Updates

TVR is sold as a one-time educational system.

  • Your purchase grants access to the materials as they exist at the time of purchase.

  • The Provider does not guarantee future updates, revisions, expansions, or continued platform availability.

  • Any future versions, updates, or supplemental materials may be offered separately at the Provider’s discretion.

No expectation of lifetime updates, ongoing access, or continued availability is created by this purchase.

4. Intellectual Property

All TVR materials—including but not limited to videos, downloads, lectures, worksheets, handouts, frameworks, and written content—are the exclusive intellectual property of The Growth Collective, LLC and are protected by U.S. and international copyright laws.

You agree not to:

  • Copy, reproduce, distribute, or publicly display any materials

  • Create derivative works based on TVR content

  • Remove or alter copyright or proprietary notices

Violation of this section may result in statutory damages, injunctive relief, and recovery of legal fees.

5. Prohibited Uses

TVR content may not be used:

  • As client-facing material

  • In marketing, advertising, or promotional claims

  • As proof of supervision, certification, or licensure eligibility

  • As documentation submitted to licensing boards, insurers, auditors, or regulatory bodies

Unless express written permission is granted by the Provider.

6. Payment Terms

All fees are final, non-refundable, and non-transferable.

  • Access is contingent upon full payment.

  • Chargebacks or payment disputes constitute a breach of these Terms and may result in immediate termination of access and referral to collections.

7. No Warranties or Guarantees

To the maximum extent permitted by law:

  • TVR is provided “AS IS” and “AS AVAILABLE.”

  • We expressly disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.

  • No clinical outcome, employment result, compliance status, or career advancement is guaranteed.

8. Technology & Platform Disclaimer

We do not guarantee uninterrupted access, error-free operation, or compatibility with all devices, browsers, or software.

Temporary outages, maintenance, platform changes, or technology failures do not constitute breach or grounds for refund.

9. Limitation of Liability

To the fullest extent permitted by law:

  • The Growth Collective, LLC, its officers, contractors, employees, and contributors shall not be liable for any damages (direct, indirect, incidental, consequential, special, exemplary, or punitive) arising out of or related to your use or inability to use TVR.

  • Our total aggregate liability shall not exceed the amount you paid for the training giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless The Growth Collective, LLC and its affiliates from any claims, liabilities, damages, losses, or expenses (including attorney’s fees) arising out of or related to:

  • Your use or misuse of TVR content

  • Any clinical, professional, or business decision you make

  • Your violation of these Terms

11. Guest Lecturers and Third-Party Content

Guest lecturers and subject matter experts may contribute to TVR. The Provider does not assume responsibility for their personal conduct, professional actions, or external statements.

12. Force Majeure

We are not liable for failure or delay due to causes beyond our reasonable control, including natural disasters, cyberattacks, power or internet outages, or government restrictions.

13. Dispute Resolution & Governing Law

These Terms are governed by the laws of North Carolina.

  • Disputes must first be addressed through good-faith informal negotiation.

  • If unresolved, disputes shall be resolved exclusively through binding arbitration under the American Arbitration Association, conducted virtually or in North Carolina.

  • No class actions or consolidated proceedings are permitted.

  • Each party shall bear its own legal costs.

  • Arbitration awards are final and enforceable in any court of competent jurisdiction.

14. Modification of Terms

We reserve the right to modify these Terms at any time. Updated Terms will apply to future purchases, and where legally permitted, continued access constitutes acceptance of revised Terms.

15. Severability

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and the Provider regarding TVR and supersede any prior representations or agreements.

17. Acceptance of Terms

By purchasing, downloading, or accessing any TVR training or materials, you acknowledge that you have read, understood, and agreed to these Terms & Conditions, including all disclaimers, limitations of liability, and dispute resolution provisions.
